Terms of Service

These Terms of Service ("Terms") govern your access to and use of SalePilot (the "Service"), available at salepilot.araosds.com, operated by Arao Software Development Services ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

SalePilot is an AI-assisted tool that helps you respond to inquiries, manage leads, and publish content on social media platforms you connect (currently Facebook, with others planned). The Service acts only on the accounts, pages, and permissions you choose to connect and on the settings you configure.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract.
You are responsible for all activity under your account and for keeping your login credentials secure.
You must provide accurate registration information and keep it up to date.
One account may not be shared across separate, unrelated businesses without our consent.

3. Your Responsibilities

You are solely responsible for:

The accounts, access tokens, business information, product data, and pricing you provide ("Your Content"), and for having the right to use and share it.
Reviewing and approving messages or posts where you have enabled approval mode, and for the outcomes of any messages or posts the Service sends, whether automated or approved by you.
Complying with the terms, policies, and developer rules of any connected platform (e.g., Facebook/Meta), and with all applicable laws including consumer-protection, advertising, and data-privacy laws.
The accuracy of representations, offers, prices, and commitments communicated to your customers.

4. Acceptable Use

You agree not to use the Service to: send spam or unsolicited bulk messages; harass, deceive, or defraud; violate any platform's rules or any law; infringe intellectual-property or privacy rights; transmit malware; scrape or overload our systems; or resell or sublicense the Service without our written permission. We may suspend or terminate accounts that violate this section.

5. AI-Generated Output

The Service uses automated and AI systems to draft replies and content. AI output can be inaccurate, incomplete, or inappropriate. You acknowledge that such output is a suggestion, not professional advice, and that you are responsible for reviewing it before it reaches your customers (or for the consequences of enabling automatic sending). We do not guarantee any particular result, sale, response rate, or revenue.

6. Third-Party Platforms

The Service depends on third-party platforms and APIs we do not control. Those platforms may change, limit, or discontinue access at any time, which may affect or interrupt the Service. We are not responsible for any third-party platform's actions, downtime, policy changes, or termination of your access.

7. Fees, Trials & Billing

Paid plans are billed in advance on a recurring basis. A free trial, where offered, converts to a paid plan only if you choose one; no card is required to start a trial.
Fees are stated in Philippine Pesos (₱) unless otherwise indicated and are exclusive of any applicable taxes.
Except where required by law, fees are non-refundable, including for partial periods, unused features, or downtime caused by third-party platforms.
We may change pricing on reasonable prior notice; changes apply to the next billing cycle.

8. Intellectual Property

The Service, including its software, design, branding, and the SalePilot name and logo, is owned by Arao Software Development Services and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. You retain ownership of Your Content; you grant us the limited right to process it solely to operate and provide the Service to you.

9. Suspension & Termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by a third-party platform or by law, for non-payment, or to protect the Service or other users. On termination, your right to use the Service ends; we may delete account data after a reasonable period.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate or suitable.

11. Limitation of Liability

To the maximum extent permitted by law, Arao Software Development Services and its owners, staff, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, goodwill, or business, arising from or related to the Service or AI output, even if advised of the possibility. Our total aggregate liability for any claim will not exceed the amount you paid us for the Service in the three (3) months before the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Arao Software Development Services from any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your messages or posts to customers, or your violation of these Terms, applicable law, or any third-party platform's rules.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Your continued use of the Service after changes take effect means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Any dispute will be subject to the exclusive jurisdiction of the competent courts of the Philippines.
